VertaSeed Terms of Service

By accessing or using VertaSeed’s services, you (“Client”) agree to the following Terms of Service.

1. Services

VertaSeed provides website design, setup, optional ongoing maintenance, automation services, add-ons, and e-commerce solutions. Websites are built using Wix and may integrate third-party tools for forms, automation, email, SMS, booking, or e-commerce functionality.

Services may be offered as one-time projects, monthly services, or optional add-ons depending on the package selected by the Client.

2. Payments & Billing

  • All fees are clearly communicated before services begin.

  • One-time packages (Packages 1–2) are billed upfront before work begins.

  • Monthly services (Packages 3–5) are billed in advance on an auto-renewing subscription.

  • Payments are non-refundable once processed.

  • Failed payments may be reprocessed; continued failure may result in suspension or termination of services.

3. Website Ownership & Transfer

  • Websites built as one-time projects (Packages 1–2) are transferred to the Client once:

    • The website is completed and approved, and

    • The Client has created and paid for their own Wix account and plan.

  • The Client becomes the full owner after transfer, including hosting, domain, and access.

  • Monthly services (Packages 3–5) cover ongoing edits, updates, and maintenance only; website ownership remains with the Client.

  • VertaSeed is not responsible for edits or changes made by the Client or third parties after transfer.

4. Scope of Work & Edits

  • Monthly service packages include a limited number of small edits as defined by the package.

  • Small edits include: text changes, image swaps, button updates, and minor layout adjustments.

  • Unused edits do not roll over.

  • Preview Feedback & Major Changes:

    • After a website preview, Clients may request minor adjustments at no additional charge.

    • Major redesigns, large-scale page changes, or structural updates may incur additional fees, communicated and agreed upon prior to work.

  • New pages, major redesigns, product uploads beyond included limits, or bulk content changes are not included unless purchased separately or agreed in writing.

  • Services and edits only apply to Wix websites.

Optional Add-On Services:

  • Additional pages, SEO, blog setup, product uploads, and other add-ons are billed separately.

  • Add-on availability depends on the client’s package and the website platform (must be Wix).

5. Client Responsibilities

  • Provide accurate content, images, product information, and business details.

  • Maintain Wix account, hosting plan, domain, and payment processor accounts.

  • Approve website builds and edits in a timely manner.

  • Understand that websites hosted outside of Wix cannot receive monthly updates or maintenance from VertaSeed.

  • Ensure all content complies with applicable laws; VertaSeed is not responsible for legal compliance or claims.

6. Third-Party Platforms & Tools

  • VertaSeed uses third-party platforms including: Wix (website hosting/e-commerce), Helcim (payment processing), GoHighLevel (automation/CRM).

  • VertaSeed is not responsible for outages, limitations, pricing changes, or other issues imposed by third-party platforms.

  • Some website functionality such as connecting a custom domain, removing Wix branding, or enabling certain hosting features may require the Client to purchase a premium plan directly from Wix. These platform subscription fees are the responsibility of the Client unless otherwise stated.

  • Certain website features such as booking calendars, forms, automation tools, or analytics integrations may use cookies or session technologies required for proper functionality.

7. Limitation of Liability

VertaSeed is not liable for indirect, incidental, or consequential damages, including lost revenue, business interruptions, data loss, or reduced performance.

8. No Guarantee

VertaSeed does not guarantee specific results, including traffic, leads, conversions, or sales. Business outcomes depend on factors outside of VertaSeed’s control.

9. Suspension & Termination

VertaSeed may suspend or terminate services for non-payment, misuse, or violation of these Terms.

10. Modifications to Terms

VertaSeed may update these Terms at any time. Continued use constitutes acceptance of the revised Terms.

11. Governing Law

These Terms are governed by the laws of the State of Connecticut, United States.

12. SMS Terms & Conditions

By opting into SMS communications from VertaSeed, you agree to receive messages related to your inquiry, appointments, and services. Message frequency may vary.

 

You can cancel the SMS service at any time. Just text "STOP" to the number provided. After you send the SMS message "STOP" to us, we will send a confirmation message and you will no longer receive SMS messages from us. If you want to join again, simply sign up again as you did the first time.
