Service Agreement

This Service Agreement (“Agreement”) is entered into between VertaSeed (“Service Provider”) and the client (“Client”).
​
By purchasing or using VertaSeed services, Client agrees to the terms outlined below.
1. Services
VertaSeed provides website design, website setup, optional ongoing maintenance, automation services, and add-ons. Services vary based on the package selected by the Client.
VertaSeed can provide:

Full website builds on Wix (Packages 1 & 2)

Ongoing monthly services for websites built on Wix (Packages 3–5 and add-ons)
-
Updates and edits for existing Wix websites under monthly service plans
VertaSeed cannot provide ongoing edits or services for websites hosted outside of Wix unless the Client chooses to rebuild the site fully on Wix (Package 1 or 2).
2. Packages & Pricing
VertaSeed offers the following packages:

Package 1 – Launch Website: $950 (one-time)

Package 2 – Sell Online Website: $1,950 (one-time)

Package 3 – Website Care: $69/month

Package 4 – Store Care: $119/month
-
Package 5 – Automated Lead System: $247/month
Add-ons may be billed separately as one-time or recurring charges as agreed.
3. Billing & Payments
-
One-time packages are billed upfront before work begins.
-
Monthly services are billed in advance on an auto-renewing subscription.
-
Payments are non-refundable once processed.
4. Failed Payments & Suspension
If a payment fails or is declined, VertaSeed may attempt to reprocess the payment.
Continued payment failure may result in suspension or termination of services until payment is successfully received.
5. Cancellation
Monthly services may be canceled at any time prior to the next billing date.
Services remain active until the end of the current paid billing period.
No partial refunds are provided for unused time.
6. Website Ownership & Transfer
For one-time website packages (Packages 1 & 2), the website is built under VertaSeed’s management and transferred to the Client once the website is completed and approved and the Client has created and paid for their own Wix account and plan.

After transfer, the Client fully owns the website, including hosting, domain, and access.

Monthly services (Packages 3–5) cover edits, updates, and maintenance only. They do not include ownership of the website, which remains with the Client if already owned.
7. Scope of Work & Edits

Monthly service packages include a limited number of small edits as defined by the selected package.

Small edits include text changes, image swaps, button updates, and minor layout adjustments.

Unused edits do not roll over.

Preview Feedback & Major Changes:
-
After the website is built and a preview is provided, the Client may request minor changes or small adjustments at no additional cost.

Requests for major redesigns, large-scale page changes, structural changes, or extensive content updates may incur additional charges, which will be communicated and agreed upon before work begins.

New pages, major redesigns, product uploads beyond included limits, or bulk content changes are not included unless purchased separately or agreed upon in writing.

Services and edits only apply to websites hosted on Wix.
Optional Add-On Services:

Additional pages, SEO, blog setup, product uploads, and other add-ons are billed separately.
-
Monthly blog services include one (1) blog post per month. Additional posts are billed separately.
-
Add-on availability depends on the client’s package and the website platform (must be Wix).
8. Client Responsibilities
-
Provide accurate content, images, product information, and business details.
-
Maintain Wix account, hosting plan, domain, and any payment processor accounts.
-
Approve website builds and edits in a timely manner.
-
Understand that websites hosted outside of Wix cannot receive monthly updates or maintenance from VertaSeed.

Ensure all content complies with applicable laws; VertaSeed is not responsible for legal compliance or claims.

​Client is responsible for confirming tax requirements with their accountant or tax professional. We will configure tax collection settings based solely on the information provided by the client.

Client is responsible for reviewing, approving, and ensuring accuracy of all legal policies including but not limited to Privacy Policy, Terms & Conditions, and Refund Policy. Vertaseed does not provide legal advice.

The client is responsible for ensuring that all contacts have provided proper consent to receive SMS or email communications. By using the messaging features within the platform, the client confirms that they have obtained the necessary consent from recipients in accordance with applicable communication laws.

The client is responsible for any usage-based communication costs associated with the platform, including SMS messaging, phone calls, and email services. These fees are billed based on usage by third-party providers and will be charged directly to the payment method added within the platform account. Phone numbers required for communication features may be provided by the agency.
9. Messaging Compliance & Carrier Registration
Certain communication features of the platform, including SMS messaging, require registration with mobile carriers before they can be activated. The Client agrees to provide any necessary business information required for this registration. Carrier registration and messaging compliance fees are determined by the mobile carriers and are required in order to enable business messaging. These fees are separate from the monthly service fee and may be included as part of the initial system setup process.
10. SMS & Communication Compliance
The Client agrees to comply with all applicable communication laws and regulations including, but not limited to, the Telephone Consumer Protection Act (TCPA), CAN-SPAM Act, and any applicable carrier or messaging provider policies.

The Client is solely responsible for ensuring that all recipients have provided proper consent to receive SMS, phone calls, or email communications.

VertaSeed does not provide or supply contact lists and does not verify consent for contacts uploaded or messaged by the Client.
The Client agrees to indemnify and hold VertaSeed harmless from any claims, fines, penalties, or legal actions arising from unauthorized messaging, spam complaints, or violations of communication laws.
11. Third-Party Platforms
VertaSeed uses third-party platforms to deliver services, including:

Wix (website hosting and e-commerce)

Helcim (payment processing)
-
GoHighLevel (GHL) – optional automation and CRM

Certain embedded tools such as booking calendars, forms, or automation widgets may utilize cookies or session technologies required for proper functionality.
VertaSeed is not responsible for outages, limitations, or changes imposed by third-party platforms.
12. Limitation of Liability
VertaSeed is not liable for indirect, incidental, or consequential damages, including lost revenue, business interruptions, or data loss resulting from the use of services or websites.
13. Legal & Compliance Disclaimer
VertaSeed may provide general legal policy templates (including but not limited to Privacy Policy, Terms & Conditions, Refund Policy, and Shipping Policy) for informational purposes only. VertaSeed is not a law firm and does not provide legal advice. Client is solely responsible for reviewing, modifying if necessary, and approving all legal content prior to website launch. VertaSeed is not liable for compliance with local, state, federal, or international laws.
14. No Guarantee
VertaSeed does not guarantee specific results, including traffic, leads, conversions, or sales. Business outcomes depend on factors outside of VertaSeed’s control.
15. Termination
VertaSeed reserves the right to suspend or terminate services for non-payment or violation of this Agreement.
16. Governing Law​
This Agreement shall be governed by and construed in accordance with the laws of the State of Connecticut, United States.
